Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and **YASKER PTE. LTD.** (UEN: 202207887E), a company incorporated under the laws of Singapore with its registered office at **68 Circular Road, #02-01, Singapore 049422** ("Company", "we", "us").

1. Agreement to Terms

By registering for, accessing, or using the Editora platform (the "Service"), you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you are strictly prohibited from using the Service.

2. Service Description

The Service is a cloud-based AI generation platform that allows users to create images and videos using node-based workflows. The Service is provided strictly for professional and creative use.

3. Credits, Payments, and Refund Policy

• Token System: You purchase a license to use our computational resources in the form of "Credits" or "Tokens". These Credits are consumed when you execute AI generations.
• Immediate Performance: By purchasing Credits, you acknowledge that the Service is made available immediately, and you expressly waive any right of withdrawal or "cooling-off period" that might otherwise apply under consumer protection laws, given the digital nature of the goods.
• No Refunds on Usage: Once Credits have been allocated to your account, they are considered "delivered". We do not offer refunds for unused Credits, nor for Credits used to generate unsatisfactory outputs (as AI generation is inherently probabilistic).
• Subscription Billing: Subscriptions are billed in advance. You may cancel your subscription at any time to prevent future billing, but no pro-rated refunds will be issued for the current billing period.

4. Intellectual Property Rights

• Your Ownership: Subject to your compliance with these Terms, you own all rights, title, and interest in the specific images and videos you generate using the Service ("Output").
• Company Rights: YASKER PTE. LTD. retains all ownership rights to the Platform, the interface, the node system, and the underlying technology. You are granted a limited, non-exclusive, non-transferable license to use the Platform.

5. Prohibited Activities

You agree NOT to use the Service to:

• Generate content that is illegal in Singapore or your jurisdiction, including Child Sexual Abuse Material (CSAM). Violations will be reported to authorities immediately.
• Attempt to reverse engineer, decompile, or copy the source code of the Service.
• Share your account credentials with third parties.

6. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY.

To the maximum extent permitted by applicable law (including the Unfair Contract Terms Act of Singapore):

1. "As Is" Service: The Service is provided "AS IS" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, error-free, or that AI outputs will meet your expectations.
2. Liability Cap: In no event shall YASKER PTE. LTD. be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid to us in the last three (3) months.
3. Force Majeure: We constitute no liability for failure to perform due to causes beyond our control (e.g., GPU shortages, internet failures).

7. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of Singapore.

Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force.

8. Changes to Terms

We may update these Terms at any time. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
